Terms and conditions
These terms apply to every account opened with, and every order placed with, Value Car Parts Distribution Ltd (trading as Value Car Parts), whether through this website, by phone or at a branch. The website is for trade customers only. By applying for an account or placing an order you agree to these terms.
1.Who we are
Value Car Parts Distribution Ltd is a company registered in England and Wales (company number [company number]) with its registered office at Unit D, Apsley Centre, Apsley Way, Staples Corner, London NW2 7LZ. VAT registration number 367742267. We supply car parts, consumables, tools and workshop equipment to the motor trade from our branches in Harlesden, Staples Corner, Perivale and Finchley.
You can contact us at sales@avdl.co.uk or on 020 8961 4096.
2.Trade customers only
We sell to businesses in the motor trade: garages, workshops, mobile mechanics, bodyshops, fleet operators and resellers. We do not sell to consumers through this website. By registering you confirm that you are acting in the course of a business and that the person registering is authorised to bind that business.
Because our customers are businesses, the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013 do not apply to orders placed under these terms.
3.Your account
- Registration is an application. We check each application with the branch and may ask for trade references or proof of business before approving it, and we may decline an application without giving a reason.
- Your login is linked to a trade account number held in our branch system. Prices, credit terms, delivery address and the branch that serves you all come from that account.
- Keep your login details confidential. You are responsible for every order placed using your login, including orders placed by your staff. Tell us straight away if you think it has been compromised.
- You must keep your contact details, delivery addresses and authorised users up to date, through the account pages or by calling the branch.
- We may suspend or close an account at any time, including for non-payment, misuse of the website, or if the business ceases trading.
4.Prices
- All prices on the website are shown exclusive of VAT unless stated otherwise. VAT is added at the current rate and shown separately in the basket, at checkout and on your invoice.
- Prices are specific to your trade account and are taken live from our branch system each time you view them. They can change without notice and may differ from prices quoted at the counter or by phone.
- Quantity breaks shown on a product page apply only to the quantity ordered in a single line.
- If a price is obviously wrong because of an error, we may cancel the affected line before dispatch and tell you. You can then re-order at the correct price if you wish.
- Delivery charges, if any, are shown before you confirm an order. Our standard van delivery within our delivery areas is free of charge for account customers.
5.Orders
- An order placed on the website is an offer to buy. Stock and prices are checked again when you confirm the order, and lines that cannot be supplied are left in your basket rather than ordered.
- A contract is formed when the branch processes your order in our branch system and issues a branch reference. Until then we may decline all or part of an order, for example where stock has been sold at the counter in the meantime.
- Parts are listed against the vehicle you select using data supplied by our catalogue provider. The catalogue is a guide. It is your responsibility to check the fitment notes, OE part numbers and the physical part against the vehicle before fitting. We are not liable for parts ordered against the wrong vehicle, engine or braking system.
- Orders for special order goods (goods we do not normally stock and order in for you) cannot be cancelled once placed with our supplier.
6.Delivery
- We deliver by our own van network from the branch that serves your account. Orders for parts held at your branch and placed before 17:00 on a working day are normally delivered the same day. Parts held at another of our branches are normally delivered the same day if ordered before 16:30, otherwise the next working day. Parts from our overnight warehouse are normally delivered the next working day if ordered before 17:00.
- Delivery times shown on the website are our best estimate based on live stock and the time of ordering. They are not guaranteed, and time of delivery is not of the essence. We are not liable for any loss caused by late delivery, including labour or vehicle hire costs.
- You must make sure someone is available to accept and sign for the delivery at the address on the order. Goods that cannot be delivered may be returned to the branch for collection.
- Please check goods on delivery. Shortages, damage in transit or incorrectly supplied goods must be reported to the branch within 2 working days of delivery.
- We may deliver an order in instalments. Each instalment is invoiced separately.
7.Payment and credit
- Orders are invoiced to your trade account. Credit terms, credit limits and payment due dates are those agreed for your account with the branch and shown on your invoices and statements.
- Where no credit terms have been agreed, payment is due before or on delivery.
- We may charge interest on overdue amounts at 8% a year above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998, together with the fixed sums that Act allows, and we may suspend deliveries and online ordering while an account is overdue or over its limit.
- Invoices, credits and your balance can be viewed and downloaded from the Orders and invoices page of your account.
8.Risk and title
Risk in the goods passes to you on delivery. Ownership of the goods stays with us until we have received payment in full, in cleared funds, for those goods and for all other sums you owe us. Until then you must keep the goods identifiable as ours and we may ask for them back or enter your premises to recover them. You may fit or resell the goods in the ordinary course of your business, but you must hold the proceeds on trust for us until we are paid.
9.Returns
- All returns and queries must be accompanied by the original invoice, and the goods must be returned within 7 days of the invoice date.
- Goods that were supplied correctly may be returned at our discretion, unused, unfitted and in their original undamaged packaging, and are subject to a 15% handling charge.
- No credit or refund is given on electrical parts, or on special order goods.
- Goods supplied incorrectly by us, or damaged on arrival, will be exchanged or credited in full provided they are reported within 2 working days and returned in the condition they were delivered.
- Labour, diagnostic, hire or other consequential costs are not covered in any circumstances.
- Returns should be handed to our driver or brought to your branch. Please do not post goods back without speaking to the branch first.
10.Exchange units and surcharges
Some parts (for example starter motors, alternators, calipers and steering racks) are sold on an exchange basis and carry a surcharge. The surcharge is shown on the product and invoice and is credited when the old unit is returned to the branch complete, drained of fluids, in the box the new unit came in, and within 30 days of invoice. Old units that are damaged beyond normal wear, incomplete, or not the equivalent part may be refused.
11.Warranty
- Goods are covered by the manufacturer’s warranty against defects in materials and workmanship for the period stated by the manufacturer, normally 12 months from the invoice date unless stated otherwise.
- The warranty does not cover wear and tear, consumable items, damage caused by incorrect fitting, misuse, accident, modification, contamination, lack of maintenance, or fitting to a vehicle for which the part is not listed.
- A warranty claim must be made through the branch with the original invoice. Parts may be sent to the manufacturer for inspection; a decision is made on their report. Where a claim is upheld we will replace the part or credit its invoice value.
- The warranty is limited to the part itself. Labour to remove and refit, diagnostic time, associated parts, vehicle recovery, hire, and any other consequential loss are excluded.
12.Limitation of liability
- Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law.
- Subject to that, we are not liable for loss of profit, loss of business, loss of contracts, labour costs, vehicle off-road costs, or any indirect or consequential loss, however arising.
- Our total liability to you in connection with any order is limited to the invoice value of that order.
- All conditions, warranties and terms implied by law are excluded to the fullest extent permitted.
13.Using the website
- The catalogue, images, part data, prices and text on this website are provided for the purpose of buying from us. They are owned by us or our data suppliers and may not be copied, scraped, reproduced or used to build another catalogue or price list.
- You must not use automated tools to query prices or stock, attempt to access other customers’ accounts, or interfere with the operation of the site.
- We may change, suspend or withdraw the website or any part of it at any time. We aim to keep it available but do not guarantee uninterrupted access.
- Vehicle registration lookups use data supplied under licence and may be used only to identify parts for a vehicle you are working on.
14.Data protection
We process personal data about you and your staff as described in our privacy notice, and use cookies as described in our cookie policy.
15.Events outside our control
We are not liable for any failure or delay caused by events outside our reasonable control, including supplier shortages, transport disruption, strikes, severe weather, power or telecoms failure, or the failure of a third-party system we rely on.
16.General
- These terms, together with your account application and any credit agreement, are the whole agreement between us. They replace any terms on your purchase orders or other documents.
- If any part of these terms is found to be unenforceable, the rest continues to apply.
- We may update these terms from time to time. The version on the website at the time you place an order applies to that order.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
17.Complaints
If something has gone wrong, please contact your branch first. If it is not resolved, email sales@avdl.co.uk with your account number and invoice reference and we will respond within 5 working days.
